1. AGREEMENT TO TERMS

These Terms and Conditions ("Agreement") constitute a legally binding contract between you ("Buyer," "User," or "you") and HELIXIS LAB LLC ("HELIXIS™," "we," "us," or "our"), governing your access to and use of the website located at helixislab.com (the "Site") and any purchases made through it. These Terms apply to all visitors, users, and others who access or use the Site. By accessing or using the Site in any manner, you confirm your acceptance of these Terms in full.

2. ELIGIBILITY & QUALIFIED BUYER REQUIREMENT

To access this Site and purchase products, you represent and warrant that you:

• Are at least 21 years of age;
• Are a qualified researcher, licensed laboratory professional, scientist, or other credentialed individual witha legitimate scientific or research purpose;
• Have the legal capacity to enter into a binding agreement in your jurisdiction;
• Are not located in a jurisdiction where the purchase, possession, or importation of research peptides isprohibited by law;
• Are not purchasing products for personal use, human consumption, veterinary use, or any purpose otherthan legitimate in vitro or preclinical laboratory research.

HELIXIS™ reserves the right to refuse service, cancel orders, and close accounts at its sole discretion if it has reason to believe any of the above representations are false or inaccurate.

3. PRODUCTS — RESEARCH USE ONLY (RUO)

ALL PRODUCTS SOLD BY HELIXIS™ ARE STRICTLY FOR RESEARCH USE ONLY (RUO) AND ARE NOT

INTENDED FOR, NOR APPROVED FOR, HUMAN OR ANIMAL CONSUMPTION, INJECTION, OR ADMINISTRATION OF ANY KIND.

All products are provided as research chemical compounds for in vitro laboratory use only — not sterile, not validated for clinical or therapeutic use, and not approved by the U.S. FDA or any other regulatory authority for use as drugs, medicines, diagnostics, or medical devices.

By placing an order, the Buyer expressly warrants they will use all products in strict compliance with all applicable laws, consistent with professional standards of a qualified researcher. Bodily introduction of any HELIXIS™ product into any human or animal is strictly prohibited.

4. NO MEDICAL CLAIMS OR ADVICE

Nothing on this Site constitutes medical advice, a medical claim, a diagnosis, a treatment recommendation, or a substitute for the advice of a qualified healthcare professional.

5. ORDERS, PRICING & PAYMENT

All orders are subject to acceptance and availability. HELIXIS™ reserves the right to refuse or cancel any order at its discretion, limit quantities, modify or discontinue products without notice, and correct pricing errors at any time. An order is confirmed only once payment is successfully processed. All prices are in US Dollars and subject to change without notice.

All content on this Site — including the HELIXIS™ name, logo, trademarks, text, graphics, product descriptions, and the "Engineering the Future of Human Biology™" tagline — is the exclusive property of HELIXIS LAB LLC, protected by applicable intellectual property laws. Unauthorized reproduction, distribution, or use of any content is strictly prohibited.

7. PROHIBITED USER CONDUCT

You agree not to use this Site or any product to:

• Violate any applicable law or regulation;
• Administer, inject, ingest, or otherwise introduce any product into any human or animal body;
• Resell products to any party who does not meet qualified researcher eligibility criteria;
• Make any public claim linking HELIXIS™ products to therapeutic or medical outcomes;
• Engage in any fraudulent, deceptive, or harmful activity;
• Interfere with or disrupt the integrity or performance of the Site.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless HELIXIS LAB LLC, its officers, directors, employees, agents, licensors, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, costs, and legal fees arising out of or relating to: (a) your violation of these Terms; (b) any bodily introduction of HELIXIS™ products into any human or animal; (c) your violation of any applicable law or the rights of any third party.

9. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

HELIXIS™ DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PRODUCT WILL MEET YOUR SPECIFIC RESEARCH REQUIREMENTS.

IN NO EVENT SHALL HELIXIS™'S TOTAL LIABILITY EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID IN

THE TWELVE (12) MONTHS PRIOR TO THE CLAIM OR (b) ONE HUNDRED US DOLLARS ($100.00). THE HELIXIS

PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND.

10. EXPORT CONTROLS & RESTRICTED TERRITORIES

Products may be subject to US export control laws including the Export Administration Regulations (EAR). By purchasing, you represent that you are not located in, and will not ship products to, any country subject to US trade embargo, and that you are not on any US Government denied-party list. All customs duties and import taxes are your sole responsibility.

11. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of the State of [STATE], United States, without regard to conflict of law provisions. You consent to the exclusive personal jurisdiction of state and federal courts located in [COUNTY, STATE] for any dispute not subject to arbitration.

12. DISPUTE RESOLUTION & ARBITRATION
