1. THIS AGREEMENT

This Research Use Agreement ("RUA" or "Agreement") is entered into between HELIXIS LAB LLC

("HELIXIS™") and the individual or entity placing an order on helixislab.com ("Buyer") at the time of purchase. This Agreement is a condition of sale and must be accepted prior to completing any transaction.

By checking the "I Agree" checkbox at checkout, or by placing an order on this Site, the Buyer unconditionally agrees to the terms of this Agreement in full.

2. BUYER REPRESENTATIONS & WARRANTIES

The Buyer hereby represents, warrants, and covenants to HELIXIS™ that as of the date of each purchase:

• Buyer is a qualified researcher, licensed scientist, laboratory professional, academic institution employee,or other individual with a legitimate, documented in vitro research purpose;
• Buyer is at least 21 years of age;
• Buyer is not purchasing any product for personal use, self-administration, human consumption, veterinarytreatment, or resale to unqualified parties;
• Buyer has the knowledge, expertise, and facilities necessary to safely handle, store, and useresearch-grade chemical compounds;
• Buyer's intended use complies with all applicable federal, state, and local laws, regulations, andinstitutional policies in Buyer's jurisdiction;
• Buyer has verified that purchase and importation of the ordered products is lawful in their location.

3. PERMITTED USES

Products purchased from HELIXIS™ may only be used for:

• In vitro (outside the body) laboratory research and experimentation;
• Preclinical scientific investigation in accordance with applicable ethical and regulatory guidelines;
• Analytical chemistry and quality control testing in a laboratory setting;
• Educational demonstrations within licensed research or academic institutions.

All permitted uses must be conducted by qualified personnel in an appropriate laboratory environment with proper safety equipment and protocols.

4. STRICTLY PROHIBITED USES

The following uses are STRICTLY PROHIBITED and constitute a material breach of this Agreement:

• Any introduction of the product into the body of any human or animal, regardless of route of administration;
• Use as, or in the manufacture of, any food, dietary supplement, drug, medicine, cosmetic, or medicaldevice;
• Resale, redistribution, or transfer to any party who has not agreed to an equivalent research-use-onlyrestriction;
• Any use in clinical trials or human subjects research without the express prior approval of HELIXIS™ andall applicable regulatory authorities;
• Any use that violates applicable law, including FDA regulations, controlled substance laws, or exportcontrol requirements.

5. BUYER'S INDEPENDENT WARRANTY OF COMPLIANCE

The Buyer expressly and irrevocably warrants that they will:

• Properly test, use, manufacture, and handle any products purchased from HELIXIS™ in accordance withthe practices of a qualified, experienced researcher and in strict compliance with all applicable laws and regulations;
• Ensure proper disposal of all research compounds per applicable laboratory waste regulations;
• Not make any public claim, advertise, or represent that HELIXIS™ products are suitable for human oranimal use;
• Immediately cease use and notify HELIXIS™ if Buyer becomes aware of any unauthorized use ofpurchased products.

6. RECORDKEEPING

HELIXIS™ retains a record of each Buyer's acceptance of this Research Use Agreement at the time of purchase, including the date, order information, and the attestation made. This record may be produced in response to lawful regulatory or legal inquiries.

Buyers are encouraged to maintain their own records documenting the research purpose and use of all purchased compounds, consistent with good laboratory practice.

7. INDEMNIFICATION

Buyer agrees to indemnify, defend, and hold harmless HELIXIS LAB LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Any breach of this Research Use Agreement by Buyer;
• Any misrepresentation by Buyer regarding their qualifications or intended use;
• Any use of HELIXIS™ products outside of the permitted research uses described herein;
• Any bodily introduction of any HELIXIS™ product into any human or animal body;
• Any violation of applicable law by Buyer in connection with the purchase or use of HELIXIS™ products.

8. ACKNOWLEDGMENT & BINDING EFFECT

BY PROCEEDING WITH ANY PURCHASE FROM HELIXIS™, INCLUDING BY CLICKING "PLACE ORDER" OR ANY

EQUIVALENT CHECKOUT CONFIRMATION, THE BUYER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND UNCONDITIONALLY AGREE TO BE BOUND BY THIS RESEARCH USE AGREEMENT.

This Agreement is incorporated into and forms part of the HELIXIS™ Terms and Conditions. In the event of any conflict, the more restrictive provision shall apply.
